These terms govern the property management relationship between Chādy Property Management and property owners who engage our services. Please read carefully before signing an agreement.

Chādy Property Management ("Manager") is appointed by the property owner ("Owner") as the exclusive property manager for the described property for the term of this Agreement. Owner grants Manager full authority to manage, lease, and operate the property on Owner's behalf, subject to the limitations set forth herein.
Manager is an independent contractor. This Agreement does not create an employer-employee relationship between Owner and Manager or between Owner and any of Manager's employees, contractors, or agents.
Term of Agreement
This Agreement commences on the date of execution and continues for an initial term as stated in the signed agreement. Following the initial term, the Agreement automatically renews on a month-to-month basis unless terminated by either party with the notice period specified in Section 8.
Manager reserves the right to modify these terms with 30 days' written notice to Owner. Continued participation in the management program constitutes acceptance of updated terms.
Scope of Services
Manager will provide the following core services, depending on the management tier selected by Owner:
- Listing and marketing the property across applicable booking platforms (Airbnb, VRBO, direct booking, and others)
- Guest screening, booking management, and reservation confirmation
- Guest communication — pre-arrival, in-stay, and post-checkout
- Coordinating cleaning and turnover services between guest stays
- Dynamic pricing strategy and revenue optimization
- Coordinating routine and emergency maintenance with licensed vendors
- Monthly performance reporting and financial statements
Management Fees
Manager's compensation is a percentage of gross rental revenue collected, as stated in the signed management agreement. This percentage varies based on market, property type, and management tier.
Additional fees may apply for the following:
- Onboarding and property setup (one-time)
- Staging, photography, and listing creation (if not included in tier)
- Owner-requested bookings or holds outside normal calendar management
- Maintenance coordination for projects exceeding the standard repair authorization threshold
All fees are disclosed in writing prior to engagement. Manager will not charge fees not agreed to in the executed management agreement without prior written Owner consent.
Owner Funds & Disbursements
Manager will maintain all Owner funds in a separate account and disburse net revenue to Owner on a monthly basis, following deduction of applicable management fees, maintenance costs, and platform charges.
Owner will receive a monthly financial statement itemizing all revenue, expenses, and disbursements for the prior period. Statements are delivered electronically.
Manager is authorized to retain funds sufficient to cover anticipated expenses or outstanding charges at the time of disbursement. Owner will be notified of any unusual holdbacks.
Maintenance & Repairs
Manager is authorized to approve and coordinate routine maintenance and repairs up to the threshold amount stated in the signed agreement (typically $250–$500 per occurrence) without prior Owner approval.
Repairs or projects exceeding the authorization threshold require Owner approval before work begins, except in cases of emergency where immediate action is required to prevent property damage, guest injury, or legal liability.
Manager will make reasonable efforts to use licensed and insured vendors. Owner acknowledges that Manager is not responsible for the workmanship of third-party contractors engaged at Owner's request or required by emergency circumstances.
Insurance
Owner is solely responsible for maintaining adequate property insurance, including homeowner's or landlord's insurance and, where applicable, short-term rental liability coverage.
Manager strongly recommends that Owner carry:
- A minimum of $1,000,000 in general liability coverage
- Property damage and casualty coverage at full replacement value
- Short-term rental endorsement or dedicated STR insurance policy
Manager is not an insurer and assumes no liability for loss, damage, or injury not covered by Owner's insurance policy. Owner agrees to list Manager as an additional interested party on Owner's insurance policy upon request.
Termination
Either party may terminate this Agreement with 30 days' written notice. Termination does not affect any bookings or reservations already confirmed — Manager will fulfill all confirmed guest reservations unless Owner and Manager mutually agree otherwise.
Manager may terminate this Agreement immediately and without notice if:
- Owner fails to cure a material breach within 10 days of written notice
- Owner engages in conduct that exposes Manager to legal, financial, or reputational harm
- Owner fails to maintain required insurance or comply with applicable laws
Upon termination, Manager will provide a final accounting and disburse all net funds owed to Owner within 30 days, less any outstanding charges or reserves.
Limitation of Liability
Manager's liability to Owner under this Agreement is limited to the total management fees paid by Owner to Manager in the 12 months preceding the event giving rise to the claim.
Manager is not liable for:
- Acts or omissions of guests, contractors, or third-party service providers
- Property damage, loss, or theft by guests or third parties
- Loss of revenue due to market conditions, platform policy changes, or force majeure events
- Owner's failure to maintain the property in rentable condition
Governing Law & Disputes
This Agreement is governed by the laws of the State of Tennessee. Any dispute arising under this Agreement shall first be subject to good-faith mediation between the parties. If mediation fails, disputes shall be resolved by binding arbitration in Nashville, Tennessee under the rules of the American Arbitration Association.
The prevailing party in any arbitration proceeding is entitled to recover reasonable attorney's fees and costs.
